Client Waiver and Release of Liability

Effective as of May 1, 2025

This Waiver and Release of Liability (“Agreement”) is entered into by and between the undersigned client (“Client”) and Renova Vitalis LLC, a Wyoming limited liability company (“Renova Vitalis,” “Renova,” or the “Company”), as a condition of the Client’s participation in a medical tourism experience organized or facilitated by Renova Vitalis.

By agreeing to this document, Client acknowledges and accepts the following:

1. Renova Vitalis Is Not a Healthcare Provider

Renova Vitalis is not a healthcare provider, does not employ medical personnel, and does not perform any medical or dental procedures. The Company solely facilitates logistics, scheduling, payment transfers, and coordination with independent third-party clinics and providers (“Providers”) located outside the United States.

All medical, dental, and cosmetic services are performed exclusively by independent third-party Providers, who are not employees, agents, or representatives of Renova Vitalis. The Client acknowledges that all risks related to such services—including outcomes, complications, or dissatisfaction—rest solely with the selected Provider.

2. Comprehensive Assumption of Risk

The Client voluntarily assumes all risks associated with participation in a medical tourism experience facilitated by Renova Vitalis, including but not limited to:

  • Traveling abroad for medical, dental, or cosmetic treatment.
  • Receiving care in a foreign country, where medical standards, regulatory oversight, and legal recourse may differ substantially from those in the Client’s home country.
  • Risks inherent in any medical, dental, or cosmetic procedure, including but not limited to complications, adverse side effects, unsatisfactory outcomes, permanent injury, disability, disfigurement, or death.
  • The use of services by independent third-party Providers, transportation companies, hotels, or other vendors suggested or arranged by Renova Vitalis.
  • Travel-related risks such as illness, delays, cancellations, or accidents.
  • Financial risks from unexpected complications requiring additional treatment or extended stay abroad.

Client affirms they have had ample opportunity to conduct independent research regarding the Provider, facility, destination, and proposed procedure(s), and are not relying solely on information provided by Renova Vitalis.

3. Full Release and Waiver of Liability

The Client, on behalf of themselves and their heirs, executors, administrators, and assigns, hereby fully and unconditionally releases, discharges, and holds harmless Renova Vitalis LLC, along with its owners, officers, employees, agents, affiliates, and successors, from any and all claims, liabilities, demands, actions, damages, or losses (whether known or unknown, foreseen or unforeseen), arising from or related to:

  • Any procedure or treatment rendered by a third-party Provider.
  • Any act or omission by Providers, clinics, hospitals, or service vendors abroad.
  • Travel-related incidents, illnesses, injuries, or delays.
  • Any information or arrangements provided by Renova Vitalis.
  • Any failure to warn of risks reasonably associated with medical tourism.

This release applies to all claims, including but not limited to negligence by Renova Vitalis in its facilitation role, malpractice by third parties, or breach of duty, to the fullest extent allowed under Wyoming law.

4. No Warranties or Guarantees

Client acknowledges that:

  • Renova Vitalis does not guarantee or warrant the quality, outcome, or safety of any procedure.
  • Renova does not verify, guarantee, or endorse the licensing, credentials, or certifications of Providers or facilities.
  • Any testimonials, descriptions, or representations from the Company are informational only and do not constitute professional advice or endorsements.
  • Clients are solely responsible for verifying the Provider’s qualifications and suitability.

5. Complaints and Legal Action

Client understands that all complaints, disputes, or legal claims related to care received must be addressed directly with the Provider, under the laws and jurisdiction of the country in which the services were rendered. Renova Vitalis is not a party to the treatment agreement between Client and Provider.

6. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to conflict of law principles.

Any disputes arising out of or relating to this Agreement shall be resolved by binding arbitration in the State of Wyoming under the rules of the American Arbitration Association. The prevailing party in any such proceeding shall be entitled to recover reasonable attorneys’ fees and costs.

7. Recommendation for Independent Advice and Insurance

Renova Vitalis strongly recommends that the Client:

  • Consult their personal physician regarding their condition and the proposed procedures.
  • Conduct independent research on the Provider, facility, and destination.
  • Purchase comprehensive travel and medical complications insurance, specifically covering international procedures and related emergencies or follow-up care.
  • Understand that all uninsured medical expenses and risks are the sole responsibility of the Client.

8. Acknowledgment and Severability

Client affirms that they:

  • Have read and fully understood the contents of this Agreement.
  • Have had the opportunity to seek independent legal advice.
  • Are signing or electronically accepting this Agreement voluntarily, without duress.

If any provision of this Agreement is deemed invalid or unenforceable in any jurisdiction, the remainder of the Agreement shall remain valid and enforceable to the fullest extent permitted by law.

IN WITNESS WHEREOF, the undersigned Client agrees to the terms set forth above as of the Effective Date.
